Terms of Service

These Terms of Service ("Terms") govern your access to and use of ZipAudience (the "Service"), a lead intelligence and marketing automation platform operated by ZipAudience ("ZipAudience", "we", "us", or "our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use. You must provide accurate, current, and complete information and keep it up to date.
2. The Service
ZipAudience lets you discover business and consumer leads sourced from licensed third-party data providers, and create and send marketing outreach (including AI-assisted email campaigns and follow-ups), track engagement, and manage replies. Features, data sources, and limits may change over time. We may add, modify, suspend, or discontinue any part of the Service at our discretion.
3. Acceptable use
You agree not to use the Service to:
- send unsolicited bulk messages, spam, or any communication that violates applicable anti-spam or marketing laws (including, where applicable, the CAN-SPAM Act, CASL, GDPR, ePrivacy, and TCPA);
- send content that is unlawful, deceptive, fraudulent, defamatory, harassing, hateful, or that infringes the rights of others;
- contact individuals who have opted out, unsubscribed, or who are on a suppression or do-not-contact list;
- misrepresent your identity, sender information, or the origin of any message;
- attempt to gain unauthorized access to the Service, other accounts, or our systems, or interfere with or disrupt the Service;
- resell, scrape, or redistribute lead data except as expressly permitted; or
- use the Service in any way that violates applicable law or any third-party platform terms (for example, the terms of your connected email provider).
4. Your responsibilities for outreach and data
You are solely responsible for the messages you send and the recipients you contact. You represent and warrant that you have a lawful basis and any required consent to contact your recipients, that your messages comply with all applicable laws, and that you will honor opt-out and unsubscribe requests promptly.
Lead data is provided for lawful marketing and business outreach only. We do not guarantee the accuracy, completeness, or deliverability of any data, and you are responsible for verifying and using it in compliance with applicable law. The Service includes unsubscribe and suppression tools to help you send responsibly, but their use does not make you compliant by itself.
5. AI-generated content
The Service uses artificial intelligence to help draft campaign copy, follow-ups, and other content. AI output may be inaccurate, incomplete, or unsuitable for your purpose. You are responsible for reviewing and editing all AI-generated content before sending or relying on it. You retain responsibility for everything sent from your account.
6. Billing, subscriptions, and credits
Payments for the Service are processed by our authorized reseller and Merchant of Record, Paddle.com (Paddle.com Market Limited and its affiliates, "Paddle"). When you purchase a subscription or credits, Paddle is the seller of record for that transaction, and Paddle's buyer terms also apply to your purchase. Paddle handles payment processing, billing, and applicable sales tax or VAT.
Subscriptions are billed in advance on a recurring (monthly or annual) basis and renew automatically until cancelled. You can cancel at any time, and cancellation takes effect at the end of your current billing period. Prepaid credits are used for lead lookups and certain usage-based actions; credits are consumed as you use the Service and may expire as stated at the time of purchase.
Prices may change; we will give reasonable notice of changes that affect recurring charges, and changes apply to the next billing period. All fees are stated in US dollars unless noted otherwise. Refunds are governed by our Refund Policy.
7. Intellectual property
The Service, including its software, design, and content (excluding your data and the content you create), is owned by ZipAudience and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. You retain ownership of the data and content you upload or create, and you grant us a license to host, process, and use it solely to provide and improve the Service.
8. Third-party services
The Service integrates with third parties (for example, payment processing by Paddle, AI providers, data providers, and email providers such as Gmail and Outlook). Your use of those services may be subject to their own terms and policies. We are not responsible for third-party services and do not control their availability or performance.
9. Suspension and termination
We may suspend or terminate your access to the Service, with or without notice, if you violate these Terms, create risk or legal exposure for us, or use the Service in a manner that may harm others. You may stop using the Service at any time. Upon termination, your right to use the Service ends, and we may delete your data after a reasonable period, subject to our Privacy Policy and applicable law.
10. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any data or results will be accurate or meet your expectations.
11. Limitation of liability
To the maximum extent permitted by law, ZipAudience will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amount you paid to us (or to Paddle for the Service) in the three months before the event giving rise to the claim.
12. Indemnification
You agree to indemnify and hold harmless ZipAudience from any claims, damages, liabilities, and expenses arising out of your use of the Service, your content or outreach, or your violation of these Terms or applicable law.
13. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will update the date above and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
14. Governing law
These Terms are governed by the laws of the Islamic Republic of Pakistan, without regard to conflict of law principles. Purchases processed by Paddle are additionally subject to Paddle's own buyer terms.
